PCA Families warmly welcomes members to a briefing on our proposed new Constitution to be held this Friday 29 January 2021 from 11am – 12.30pm. Register your attendance here.
The briefing is an opportunity to hear more about two special resolutions that will be recommended to the upcoming PCA Families Annual General Meeting (AGM). They are:
- Amendments to the Rules – to ensure our constitution reflects contemporary good governance in line with the Australian Charities and Not-for-profits Commission (ACNC) model constitution:
- Our current constitution was adopted in 2013. The establishment of the ACNC after 2013 means we need to comply with both the ACNC legislation as well as the Victorian Associations Incorporation Reform Act 2012.
- The current Rules have some contradictory Rules, particularly in relation to the election of and terms for Board members.
- The size of the Board and the length of Board terms of office do not reflect modern board practice.
- The terminology used for office holders (e.g. ‘President’ and ‘Vice President’) is dated
- The purpose in our constitution does not fully reflect our current activities
- The current Rules do not provide adequate flexibility to deal with circumstances such as COVID-19, and online AGMs.
- Many of the current Rules duplicate relevant legislative requirements which may mean that future changes are needed if the underlying legislation is amended.
- Name change – our current legal name is Post Placement Support Services Inc. This name does not reflect the name our members know us by and is not used in our communications. Permanent Care and Adoptive Families Inc is proposed to be our new legal name as it is more reflective of who we are and what we do.
Please note if adopted, the constitutional changes must also be approved by Consumer Affairs Victoria. This means they will not come into effect before the 2021/2022 AGM.
